Late Sun Radio / Artists / Terms
Artist terms
The deal, in plain English first
This is the agreement we send when a track fits the room. The summary comes first; the full text is below it. Nothing plays until we’ve both signed.
Attorney review pending. This is version 1.0 (2026-10-08). It has not been reviewed by a lawyer yet.
Plain-English summary
- You keep everything. You own your music. You can release it, sell it, license it to anyone else. This is non-exclusive.
- What you are letting us do: play the tracks in Exhibit A on the Late Sun Radio YouTube channel: the 24/7 live stream, uploaded mixes, Shorts and short social clips that promote the channel. The channel earns money from ads and viewer tips, so this is monetised use. We may crossfade, level and lightly EQ tracks for the mix. We do not remix, sample, add vocals, sell, or distribute your tracks to Spotify or anywhere else.
- What you get: your name and track title on screen while it plays, a credit with your Spotify artist link in every description, a QR code and link to the Late Sun Radio Spotify playlist on screen, and your track in that playlist. No fee either way, unless we both sign the optional revenue-share rider.
- Content ID: if you or your distributor register the tracks with YouTube Content ID, you add our channel to the allowlist or release any claim within 5 business days of our note. We will never claim your tracks.
- AI: you tell us honestly if a track was made with an AI music generator (YouTube requires a label). We will never use your music to train an AI model.
- Ending it: either of us can end this with 30 days' written notice. We stop adding the tracks to new content. Mixes and stream archives published before the notice can stay up, unless you ask us in writing to take them down, which we do within 30 days.
- Say yes by signing electronically or replying "I agree" to the email this is attached to.

NON-EXCLUSIVE MUSIC PERMISSION AGREEMENT (Late Sun Radio, version 1.0, 2026-10-08)
This Agreement is between [Artist legal name], professionally known as [artist name] ("Artist") and [Founder legal name or entity], doing business as Late Sun Radio, [address], [State], USA ("Licensee"). It takes effect on the date Artist accepts it under clause 12 (the "Effective Date").
1. Definitions. (a) "Tracks" means the sound recordings and the underlying musical compositions listed in Exhibit A, as amended by written agreement. (b) "Channel Content" means audio-visual content published by Licensee under the name Late Sun Radio: continuous live streams, recorded or uploaded mixes and sets, YouTube Shorts, and clips of no more than 90 seconds posted to Licensee's own social accounts to promote the channel. (c) "Copyright and Similar Rights" means copyright and rights closely related to copyright, including performance, broadcast and sound-recording rights, however labelled. (d) "Share" means to reproduce, publicly perform, stream, communicate to the public and make available to the public by any means requiring permission under the Copyright and Similar Rights. (e) "Synchronise" means to combine a Track in timed relation with moving images.
2. Grant. Subject to this Agreement, Artist grants Licensee a worldwide, non-exclusive, royalty-free (except as provided in any signed Rider B), non-transferable licence for the Term to: (a) reproduce the Tracks as technically necessary; (b) Synchronise the Tracks with Channel Content; (c) Share the Tracks as part of Channel Content on YouTube and on Licensee's own accounts on other platforms, including in monetised content (advertising, channel memberships, viewer tips and similar platform revenue); and (d) mix the Tracks into continuous programmes using crossfades, beat-matching, volume levelling, light equalisation and fades. Artist authorises Licensee to exercise these rights in all media and formats now known or later developed and to make technical modifications necessary to do so.
3. Reserved rights and limits. Artist keeps all ownership of the Tracks and all rights not expressly granted. Licensee will not: (a) remix, re-edit, sample, add vocals or lyrics to, or create derivative musical works from a Track beyond clause 2(d); (b) sell, sublicense or distribute a Track on its own or as part of a collection to any music store, streaming service, library or other third party; (c) register a Track with Content ID or any fingerprinting or rights-management system; (d) use a Track to train, fine-tune or evaluate any machine-learning or generative model, or permit a third party to do so on Licensee's behalf; (e) use Artist's name or likeness other than for the credit in clause 4 and factual references to the Tracks' inclusion. Platform-level licences that YouTube and similar services require from uploaders apply only to the extent needed to publish Channel Content and do not expand this grant. Patent, trademark, publicity and moral rights are not licensed; Artist agrees not to assert moral rights only to the extent needed for clause 2(d).
4. Credit. Licensee will, for each Track: (a) show the Track title and artist name on screen in Channel Content while the Track plays, in a size and position readable at ordinary viewing scale; (b) list the Track title, artist name and Artist's Spotify artist link (or another single link chosen by Artist in Exhibit A) in the description of each uploaded mix and in the stream description; (c) show a QR code and link to Licensee's "Late Sun Radio" Spotify playlist on screen; and (d) include the Track in that playlist for as long as the Track is in active rotation, and no less than 12 months from first play. On Shorts and social clips, where on-screen text is impractical, the description or caption credit satisfies this clause. If Licensee learns a credit is missing, it will fix it within 5 business days of notice.
5. Artist's warranties. Artist represents and warrants that: (a) Artist is the sole owner of, or otherwise controls, all Copyright and Similar Rights in each Track's master recording and composition sufficient to grant this licence; (b) each Track contains no sample, loop, stem, vocal or other material owned by a third party unless that material is used under a licence that permits this use, and Artist will list any such material in Exhibit A on request; (c) no label, publisher, distributor, administrator, collecting society, co-writer or other person has rights that conflict with this grant; (d) the Tracks do not infringe any third party's rights; (e) Artist's AI-origin declaration in Exhibit A for each Track is accurate; and (f) Artist is at least 18 years old (or has a parent or guardian co-sign).
6. Content ID and claims. If Artist, or anyone acting for Artist (including a distributor or a rights-management service), has registered or later registers any Track with YouTube Content ID or a similar system, Artist will, within 5 business days of the Effective Date for existing registrations and before registration for new ones, either (a) add Licensee's channel to the allowlist for the Track, or (b) ensure the Track is not asserted against Licensee's channel. Artist will cause any claim, block, monetisation diversion or strike against Channel Content arising from a Track to be released within 5 business days after Licensee's written notice. If a claim is not released within that period, Licensee may remove the Track from rotation and from affected Channel Content, and may treat an unresolved claim lasting more than 30 days as a material breach by Artist.
7. Disclosure labels. Where platform rules require a disclosure for a Track (for example YouTube's altered-or-synthetic-content label for AI-generated music), Licensee will apply the label based on Artist's declaration in Exhibit A. Artist will tell Licensee in writing if the facts behind a declaration change.
8. No fee; optional revenue share. No fee is payable by either party. If both parties sign Rider B, Licensee will pay Artist under its terms. Nothing else creates a payment obligation, including any public performance royalties Artist may collect through a performing-rights organisation, which Artist remains free to collect from the platforms.
9. Term and termination. This Agreement runs from the Effective Date until either party ends it by giving the other 30 days' written notice (email is sufficient). On the date the notice period ends (the "End Date"): (a) Licensee will not add the Tracks to any new Channel Content and will remove them from the live-stream rotation; (b) Channel Content published before the End Date may remain available ("Archived Content"), and the grant continues for Archived Content only; (c) if Artist requests in writing that specific Archived Content be removed or re-edited to exclude a Track, Licensee will do so within 30 days of the request, and the grant for that content ends on removal. Either party may end this Agreement immediately on written notice if the other materially breaches it and does not cure within 15 days of notice. Clauses 3(d), 5, 10, 11 and 13 survive termination.
10. Indemnity. Artist will defend and indemnify Licensee against third-party claims, and the reasonable costs of responding to them, to the extent they arise from a breach of clause 5. Licensee will defend and indemnify Artist against third-party claims to the extent they arise from Licensee's use of a Track outside this grant. Each party will notify the other promptly of any claim and cooperate in its defence.
11. Disclaimer and limitation. Except for the express warranties in clause 5, each party provides its contribution as-is, and, to the extent permitted by law, neither party is liable to the other for indirect, incidental, consequential, special or punitive damages arising from this Agreement, even if advised of their possibility. This clause does not limit liability for a party's fraud, wilful misconduct, or indemnity obligations under clause 10.
12. Acceptance. Artist accepts this Agreement by (a) signing it electronically through a service that records the signer's email and time stamp, or (b) replying from Artist's own email address to the email to which this Agreement is attached with the words "I agree" (or words of the same effect), in which case the attached version is the agreed version, or (c) signing on paper. The parties agree that electronic acceptance under (a) or (b) satisfies any signature requirement. Licensee will send Artist a confirmation with the agreed version and Exhibit A within 5 business days of acceptance.
13. General. (a) This Agreement, with Exhibit A and any signed Rider B, is the entire agreement about the Tracks and replaces earlier discussions. (b) Changes must be in writing and accepted by both parties, including additions to Exhibit A (an email exchange naming the added Tracks is sufficient). (c) Neither party may assign this Agreement without the other's written consent, except Licensee may assign it to a company it forms to operate Late Sun Radio, on written notice. (d) If a provision is unenforceable, it is reformed to the minimum extent necessary or severed, and the rest stands. (e) No waiver is effective unless written. (f) Notices go to the email addresses on the signature line and are effective when sent, unless a bounce is received. (g) This Agreement is governed by the laws of the State of [California] and the United States, without regard to conflict-of-laws rules; the parties will try in good faith to settle any dispute by email and a call before starting any proceeding. (h) Nothing here creates a partnership, employment, agency or exclusive relationship. (i) Artist may describe the Tracks' inclusion on Late Sun Radio in Artist's own promotion.

RIDER B (OPTIONAL): REVENUE SHARE
Only in force if both parties sign this Rider. Licensee will pay Artist [__]% of Net Ad Revenue attributable to the Tracks. "Net Ad Revenue" means the amount YouTube actually pays Licensee for advertising on Channel Content in a calendar quarter, after YouTube's share and any taxes, excluding viewer tips, memberships, merchandise and sponsorships. Attribution is pro rata: the Tracks' total played seconds in monetised Channel Content divided by all music seconds in that content, measured from Licensee's play logs. Licensee sends a one-page statement and payment within 45 days after quarter end; amounts under USD 10 roll into the next quarter; Artist may ask once a year for the play logs behind a statement. Payments are made by the Licensee's owner personally (never by an automated system) by a method Artist chooses from those Licensee offers. Rider B ends with the Agreement; the final statement covers the quarter containing the End Date and Archived Content thereafter is unpaid unless the parties agree otherwise. Default: off. The Operator may propose it only for an artist whose tracks exceed 10% of stream runtime in a month, by Decision Request.
